Terms and Conditions for Renewed Rhythms Sleep Consulting LLC

By purchasing a Sleep Consulting Package with RENEWED RHYTHMS SLEEP CONSULTING LLC, this agreement is made and entered into between “Client” and Renewed Rhythms Sleep Consulting LLC (hereinafter referred to as “Renewed.”) Client and Renewed will be referred to collectively as the “PARTIES.” Service may be provided by Shelby O’Brien or another employee of RENEWED referred to as “the Consultant.”

1. Consultation Services. The Client hereby employs RENEWED to perform the following services in accordance with the terms and conditions set forth in this agreement. RENEWED will confer with the Client about any concerns relating to the sleep plan agreed upon with the Client, including its implementation and management. Details of which consultation package is to be purchased are agreed upon by the Client and RENEWED, via email before invoicing.

2. Terms of Agreement. RENEWED will provide a consultation to the Client regarding the implementation of healthy sleep habits for the Client’s child including the following services for the consulting package purchased. Prior to the Parties entering into this Agreement, RENEWED will provide a no-cost, initial 15-minute consultation with Client, to obtain Client’s personal information and the child of Client’s sleeping habits. Following the initial phone consultation, the Client will then choose from one of three packages:

Package 1: Basic Phone Consultation

Cost: $75.00 (one-time fee)

Overview: This package includes a 45-minute phone consultation with RENEWED. This option is for answering questions about timing, naps, healthy sleep habits, Day Light Saving Time, traveling, etc. This consultation does not include the implementation of any new routines. After the consultation is complete, Client will receive an e-mail recap so that Client does not have to take notes.

Package 2: Personalized Sleep Plan

Cost: $200.00 (one-time fee)

Overview: This package includes a 30-minute phone consultation with RENEWED. This option is for a Client that has sleep trained before or is familiar with sleep training basics. This package includes a detailed and personalized sleep plan and a 15-minute phone consultation to discuss the questions, if any, that Client has about the plan. This package includes up to two follow-up e-mails to answer Client’s questions that may arise as they implement the sleep plan. The follow-up e-mails must be used within two weeks of the initial phone consultation.

Package 3: Personalized Sleep Plan with Support

Cost: $450.00 (one-time fee)

Overview: This package includes a 30-minute phone consultation with RENEWED. This option is for a Client that may not have sleep trained in the past. This package includes a detailed and personalized sleep plan and a 15-minute phone consultation to discuss the questions, if any, that Client has about the plan. The package also includes unlimited text and e-mail support for the two weeks after the initial phone consultation.

3. Delivery of Customized Sleep Plan. If Client purchases a package that includes a customized sleep plan, Client will receive the customized sleep plan or other documentation included with their purchased consult via email at the address provided by Client within 3 business days, unless otherwise agreed to between RENEWED and the Client.

4. Adherence to Customized Sleep Plan. Client agrees to follow RENEWED’s customized sleep plan and agrees not to deviate from the sleep plan unless absolutely necessary, using their best judgment. Client agrees to commit to working with RENEWED for a two-week period to establish healthy sleep habits for the Client’s child unless otherwise agreed to between RENEWED and the Client. This two-week period begins on the day of the Client’s initial consult and ends 14 days after. Any extension or change to this time period is solely at the discretion of RENEWED.

4A. Failure to Adhere to Customized Sleep Plan. Client hereby acknowledges and agrees that failure to adhere to Client’s customized sleep plan is done at Client’s own risk. CLIENT HEREBY UNDERSTANDS THAT RENEWED IS NOT LIABLE FOR ANY AND ALL DAMAGE, INJURY, OR ANY ADVERSE CONSEQUENCES THAT CLIENT MAY INCUR BY FAILING TO ADHERE TO CLIENT’S CUSTOMIZED SLEEP PLAN.

5. Refund Policy. RENEWED’s services are non-refundable. RENEWED does not provide full or partial refunds. If a refund is provided, it is at the sole discretion of RENEWED.

6. Termination of Agreement. RENEWED reserves the right to terminate the agreement at any time with or without full or partial refund if the Client breaches any of the terms of this agreement or if it appears to RENEWED that the Client or another individual in the Client's household is not following the Sleep Plan prepared by RENEWED.

7. Consulting with Client’s health care provider. Client represents that they have, PRIOR to entering into this Agreement with RENEWED, consulted with the Client’s pediatrician or family physician (“health care provider”), about the Client’s intention to sleep train PRIOR to implementing the sleep plan. If the Client has any questions regarding their child's health, Client acknowledges that CLIENT has consulted with the Client’s health care provider and those questions have been answered by that professional. RENEWED is not a professional health care provider. It is the Client’s responsibility to be sure that any underlying medical conditions that may be causing sleep problems (including, but not limited to, sleep apnea, ear infection, allergies, and asthma) have been ruled out as well as to ensure that the health care provider has advised that the Client’s child is healthy. If it is the Client's desire to stop nighttime feedings, the Client should be sure that doing so has been approved by their child's healthcare provider. The Client agrees to notify RENEWED of any changes to the child's health during the sleep training process as sleep training should not be implemented for a child who is ill or has an underlying medical condition that affects sleep.

8. Liability and Disclaimer. The information provided by Renewed is neither intended nor is implied to be a substitute for professional medical advice. This consultation is intended as an educational service only. The Client is advised to always seek the advice of a physician or other qualified health care provider with any questions regarding a medical condition or the health and welfare of the Client’s child. Renewed will use reasonable efforts to include up-to-date and accurate information in consults, but makes no representations, warranties, or assurances as to the accuracy, currency, or completeness of the information provided. Renewed shall not be liable for any damages or injury resulting from the Client’s access to, or inability to access the information discussed. In the unlikely event that Client endures any damage, injury, or adverse consequence as a result of Renewed’s services, the parties understand and agree that the damages owed by Renewed are limited to the total amount paid by Client. This consultation may provide references to outside materials and resources but Renewed will have no responsibility for the content of such other references and shall not be liable for any damages or injury arising from that content. Any references provided by Renewed are provided as merely a convenience to the user. The parties acknowledge and agree that the services that Renewed provides are not intended to replace or supplement the medical advice that you receive before, during, and after pregnancy, although our employees and representatives may have degrees and experience in the medical field. Client agrees that none of the advice that Renewed provides shall be considered medical advice nor should it be relied upon you as medical advice. Client understands that you should always seek the advice of your medical practitioner and should consult with your personal physician or other health-care professional if you have any healthcare related questions or concerns generally, before embarking on a new sleep program, or if you are concerned about any risks to your baby’s health or well-being that may result from your participation in Renewed’s services. If a medical problem appears or persists, do not disregard or delay seeking medical advice from your personal physician or other qualified healthcare provider.

9. Payment to Renewed. Renewed will be paid a flat rate as set in the Package chosen by Client for the work that will be provided in accordance with this agreement. Renewed will provide an invoice outlining all services to be rendered and collect payment in full before the initial consultation with the Client. The Client will have the option to seek additional support from Renewed if desired at a rate dependent upon the level of support being sought.

a. Cancellations – any consultation cancelled within 24 hours of the scheduled first meeting time shall not be eligible for a refund.

b. Rescheduling – the Client has up until 24 hours of the scheduled first meeting time to reschedule their consultation without penalty.

10. Guarantee. Renewed does not offer any guarantees related to the effectiveness of services. Results are entirely dependent on commitment from caregivers to follow consistently the plan outlined by Renewed. Renewed cannot guarantee results, as many things beyond the control of Renewed impact sleep, including but not limited to illness, teething, sleep environment, visitors, traveling, inconsistent reinforcement, and growth spurts.

11. Confidential Information. Renewed agrees that any information received from the Client during any furtherance of her obligations in accordance with this agreement which concerns the personal, financial, or other affairs of the Client will be treated by Renewed in full confidence and will not be revealed to any other persons or organizations without the written consent from the Client.

12. Parent Commitment and Communication. The Client understands that their commitment to this process is absolutely necessary in order to see the results they are hoping for in regard to their child’s sleep. The Client agrees to follow current recommendations from the American Academy of Pediatrics on safe sleep practices. The Client recognizes these practices and are encouraged to regularly check back at www.aap.org for changes.The Client understands that Renewed encourages and enjoys updates from them and that it is their responsibility to correspond with Renewed. The Client promises to bring up any concerns, doubts, or confusion in regard to the sleep plan developed with Renewed and as soon as possible so the Client and Renewed may address them constructively and work together to achieve the goals set forth in the consultation.

a. The Client must prioritize sleep and follow recommendations given by Renewed in order to see results. The Client is responsible for being consistent with sleep times, methodology, approach, and follow through in order to see results. Renewed does not offer any guarantee regarding sleep goals or results as the Consultant is only one half of the partnership, the Client is the other. We work together to achieve success.

b. The Client understands that Renewed is generally available to answer questions on weekdays during the business hours (9 am – 8 pm at Renewed’s local time) and that correspondence received during holidays, Saturdays, or Sundays may be answered the next business day. If the Client is needing guidance, the Client should first use their own best judgement and second text or email Renewed so that they may be assisted as promptly as possible (with the understanding that text messages or emails received between 9am and 8pm (Consultant’s local time) will be answered within 24 hours, as quickly as possible for the individual Consultant. The Client understands they should use their best judgment while waiting for a response from Renewed, and should use their best judgment at all times during the sleep training process.

13. Professionalism and Courtesy. Renewed agrees to treat all Clients with respect and kindness especially given the sensitive nature of sleep and family. The Client agrees to maintain professionalism and respectfulness towards the Consultant in all their communications. This includes but is not limited to: no cursing or yelling at the consultant, calling names, or disparaging their professional opinions and work.

14. Dispute Resolution. In the event of any dispute between the parties, the dispute will be submitted to an independent mediator. If mediation does not resolve the dispute, the parties agree to submit the dispute to the American Arbitration Association (AAA).

15. Venue and Jurisdiction. In the event of any dispute between the parties, the dispute will be exclusively heard in San Diego County, in the state of California.
